Is MOA and Certificate of Incorporation Same? What Each Proves
Is MOA and certificate of incorporation same? No. The memorandum of association sets out how your company is built and run, while the certificate of incorporation proves the company exists. When a bank or tender asks for a certified copy, our own licensed lawyers and legal consultants certify it in house, in person at our office, online or on a home visit.

What a Memorandum of Association Is
A memorandum of association (MOA) is the founding agreement of the company. It records the company name, the shareholders, the share capital, the business activities and how the company is managed. People also call it the company contract. Some companies also have articles of association, which add the detailed internal rules.
The MOA tells a reader who owns the company and what it may do. A bank uses it to see who controls the company and who can sign.
What a Certificate of Incorporation Is
A certificate of incorporation is the proof that the registering authority has created the company. It is usually one or two pages. It shows the company name, its registered reference and the date it was registered.
It does not list the shareholders in detail or explain how the company runs. It answers one question: does this company legally exist?
Mainland and Free Zone Versions
The documents look different depending on where the company was set up. A mainland company is registered with the Dubai economic authority, and a free zone company is registered by its free zone authority. Each authority uses its own names, layouts and wording.
For example, a free zone may issue a certificate of incorporation and a separate share certificate, and some call the MOA by another name. Do not assume your document has the same title as the one in the request. Show us what you hold and we will tell you which one it is.

Which One a Bank or Authority Asks For
If you wonder whether the MOA and the certificate of incorporation are the same, remember that banks and authorities ask for both documents in KYC documents packs, but for different reasons. The MOA shows ownership and signing power. The certificate shows the company is registered.
Read the request carefully. Some requests name only one document. So is MOA and certificate of incorporation same for a tender? No. A tender may ask for the certificate alone, while a bank account opening usually asks for the MOA too. If the wording is unclear, ask the receiving body which document it needs.
Our pages explain each case: a certified true copy of the MOA and a certified true copy of a free zone certificate of incorporation.
Certified True Copies of Company Documents
A certified true copy is a copy that a lawyer has checked against the original and certified as a true copy. We check your original, we certify the copy and we book your appointment. Certification is done in house by our own licensed lawyers and legal consultants.
Bring these to your appointment:
Our fee depends on the document and the number of copies and is confirmed when you book.
If the document was issued by Dubai Development Authority
For documents Dubai Development Authority itself issued, such as a certificate of incorporation, DDA offers its own true copy attestation. DDA lists AED 100 per document, plus AED 10 Knowledge Dirham and AED 10 Innovation Dirham per transaction, which is AED 120 for one document in one transaction. This applies only to documents DDA issued.
Common Mistakes to Avoid
For the wider picture, see certified true copy vs notarization vs attestation. Foreign company documents may need attestation chains, and MOFAIC attestation needs the original, in Arabic or English or with a legally certified translation, and not laminated.
